Terms & conditions governing the use of Site Search services

The following terms & conditions govern the use of Site Search and the IP Whois & Geolocation API. By accepting these terms & conditions, completing the registration process, submitting a website domain for indexing, requesting an API key, or otherwise using the service in accordance with these terms, you acknowledge that you agree to be bound by these terms of service which leads to a legal agreement ("contract") between you and loxal. When registering, legal entities must name a legally competent natural person fully authorized to represent that entity.

Pilot phase — how contracting actually works today

During the current pilot the contracting flow is entirely manual and operator-led. Sections 3 and 4 below have been rewritten to describe the pilot flow as it is actually run. A self-serve flow (public sign-up form, login dashboard, card-on-file billing) is planned; when it ships, those sections will be updated again and this notice will be replaced by a migration statement for existing pilot customers.

All other clauses (definitions, scope, licences, prohibited use, responsibilities, liability limitation, data protection, Service Level Agreement, governing law, jurisdiction, and severability) apply in full.

1. Definitions

Contract
The terms, conditions, and notices contained in these Terms of Service, our Privacy Policy, our Data Processing Agreement, and any other individual agreements.
loxal / Provider
"loxal" is the unregistered business name under which Alexander Orlov, Clementine-von-Braunmühl-Weg 11, 81541 München, Germany operates the Service as a natural person. The operator uses the Kleinunternehmer scheme per § 19 UStG. Full contact details: see Imprint.
Site Search
A service offered by loxal on a software-as-a-service (SaaS) basis.
Service
The software and services provided by loxal under the Site Search and IP Whois & Geolocation API names, including any upgrades and updates.
Clients / You
The individual, company, or organization using the service and party to a legal agreement with loxal.
Account
Your access to Site Search including index and search settings, dashboard, analytics, and subscription plans.
Evaluation period
For Site Search: a 14-day evaluation covering up to 500 indexed pages, granted on the first reply email after a pilot request. For the IP Intelligence API: a Free-tier API key with a published monthly quota, issued on the same email path. No card is collected at this stage.
Site ID
A unique identifier for each account that corresponds to the domain name of the site provided during registration.

2. Scope

2.1 The use of the service is exclusively subject to these terms. Any divergent, conflicting, or supplementary terms shall only become part of the contract if loxal has expressly agreed to them. These terms apply to both consumers (as defined under § 13 BGB) and entrepreneurs (as defined under § 14 BGB). Where a clause would be ineffective or invalid against a consumer under mandatory German law, that clause applies only to the extent permitted by law; the remainder of these terms remains in force. Consumers additionally have the withdrawal right set out in § 4a below.

2.2 Individual agreements with the client shall take precedence over these terms. Such agreements require written confirmation from loxal. With the exception of directors and authorized officers, loxal employees are not entitled to give verbal approval to any addenda or amendments.

3. Registration, Evaluation, Setup & Integration (Pilot)

3.1 To use the service, send a pilot request by email to info@loxal.net. For Site Search include the domain you want indexed; for the IP Intelligence API include the tier you want (Free or Pro) and a one-line use case. By emailing a pilot request, you make a binding offer to enter into an agreement on these terms. The contract language is English. loxal accepts the offer by reply email (issuing an API key or scoping a managed install). No public sign-up form, click-through acceptance, or reCAPTCHA challenge is presented at this stage.

3.2 On acceptance, loxal manually activates the evaluation: Site Search receives a 14-day evaluation with a maximum of 500 indexed pages; IP Intelligence API clients receive a Free-tier API key with the published monthly quota. No card is collected; no automatic conversion to a paid plan occurs.

3.3 Moving to a paid tier (Site Search paid plan, or IP Intelligence Pro) is also operator-led: loxal replies with a Stripe Payment Link or an invoice. Until payment is received and confirmed, the account stays on the free evaluation scope. If the Site Search evaluation ends without a paid plan, search features fall back to the free quota until the account is closed; free-tier accounts can be terminated at any time without notice.

3.4 There is no self-serve login dashboard during the pilot. Account changes (API-key rotation, plan change, domain change, deletion) are requested by email reply from the address on file and processed within one workday. You are responsible for keeping the email address that was used to request the pilot confidential and for the security of any API keys issued to you.

3.5 Site Search integration: once the managed install is confirmed, paste the supplied integration snippet into the agreed domain's source. IP Intelligence integration: send the issued API key in the X-API-Key request header against the published endpoints.

3.6 You are only allowed to submit domains that you own or are expressly authorised to crawl. Using the public playground "gadget" on search.loxal.net more than five times a day, or crawling the same site more than twice a day, constitutes abuse.

3.7 Self-serve enrolment (public sign-up form, click-through acceptance, automatic trial activation, in-product account console) is not part of the pilot. When those flows ship, this section will be amended and existing pilot customers will receive a migration notice by email at least 30 days before the change takes effect.

4. Payment, Refunds, Upgrades, Downgrades

4.1 Payments are made by credit card. Annual payments may be made by bank transfer or PayPal with consent, due within seven days after registration confirmation.

4.2 All amounts are in Euros (EUR). loxal operates under the small-business scheme (§ 19 UStG) and does not charge VAT; listed prices are therefore gross end-prices for consumers. For entrepreneurs, listed prices are also the total prices, as no VAT is added.

4.3 You are responsible for providing accurate billing information and keeping it up-to-date.

4.4 Payment is due monthly or annually in advance. An upgrade ends your free trial.

4.5 Additional services may be provided for a separately agreed fee, charged by the half hour.

4.6 For upgrades/downgrades, payments are pro-rated. No refunds for downgrades or cancellations.

4.7 loxal may change prices with two months' written notice. You may terminate upon price changes.

4a. Consumer withdrawal right (Widerrufsbelehrung)

This section applies only to consumers within the meaning of § 13 BGB. Entrepreneurs (§ 14 BGB) are not covered by the statutory withdrawal right.

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of conclusion of the contract (the day loxal confirms your registration or issues your API key, whichever is earlier).

To exercise your right of withdrawal, you must inform us (Alexander Orlov, Clementine-von-Braunmühl-Weg 11, 81541 München, Germany, e-mail info@loxal.net, phone +49 176 4440 3969) of your decision to withdraw by a clear statement (e.g. a letter sent by post or e-mail). You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse you all payments received from you without undue delay and no later than fourteen days from the day on which we are informed about your decision to withdraw. We will use the same means of payment as you used for the original transaction unless expressly agreed otherwise; in no event will you be charged fees as a result of such reimbursement.

Early termination of the withdrawal right for digital services

If you expressly request that performance of the service (e.g. issuance and use of an API key) begin before the withdrawal period has expired, and expressly acknowledge that you will lose your withdrawal right once the service has been fully performed, the withdrawal right ends with full performance. For ongoing services, pro-rata payment is owed for the portion performed up to the date of withdrawal.

5. Plan Quotas

5.1 Fees depend on indexed pages and monthly search requests. Exceeding search quota incurs €0.001 per query above the agreed volume.

5.2 Unused monthly search volume does not roll over.

5.3 Exceeding page quota prevents new pages from being indexed.

6. Termination

6.1 Service is provided for one or twelve months, automatically extending unless otherwise agreed.

6.2 You may terminate anytime. Paid plans must downgrade to "FREE Plan" before account deletion.

6.3 No refunds for cancellation except for extraordinary termination for cause.

6.4 Downgrading may result in loss of content, features, or capacity. loxal assumes no liability.

6.5 Upon account deletion, you must remove all Site Search scripts from your site.

7. Prohibited and Unauthorized Use

You are prohibited from any activity that violates applicable law or these terms. Prohibited actions include:

8. Licenses and Proprietary Rights

8.1 loxal grants you a non-transferable, non-sublicensable, non-exclusive right to use the services.

8.2 You grant loxal a non-exclusive, revocable right to store, copy, transmit, and display your content.

8.3 loxal may anonymize user data for service improvement and other business purposes.

8.4 You grant loxal rights to use feedback you provide free of charge.

8.5 loxal may use your name/logo for marketing in accordance with applicable law.

9. Data Protection & Privacy

9.1 All interaction data is encrypted via SSL. You authorize transmission, storage, and processing of data including website data, search queries, user interactions, and tracking information.

9.2 The Site Search Privacy Policy explains how we treat personal information.

9.3 For end user personal information processing, the Data Processing Agreement terms apply.

10. Responsibilities and Guarantees

10.1 You grant loxal a non-exclusive, revocable licence to access, crawl, and index the content of the domains specified in your order ("Authorized Domains"). You represent and warrant that (a) you own or are expressly authorized to operate the Authorized Domains, (b) no third-party rights restrict this authorization, (c) you waive any robots.txt or Terms-of-Service restrictions on the Authorized Domains vis-à-vis loxal's crawler, and (d) you shall indemnify loxal against any third-party claim arising from a misrepresentation of these warranties. loxal may withdraw if a site is unsuitable or if crawling cannot be performed without violating third-party rights.

10.1.1 For domains other than Authorized Domains (e.g. outbound links discovered during crawling), loxal's crawler will respect robots.txt and limit traversal to a single hop from the Authorized Domain. Full content of third-party pages is not stored; only snippets and metadata are retained to support search result display.

10.2 You must provide reasonable support for service provision, including correct integration.

10.3 You must accept tool updates within four weeks of notification.

10.4 loxal warrants service provision as agreed and in accordance with the SLA.

10.5 SLA terms do not apply for issues beyond loxal's control, including force majeure, third-party defects, misuse, or exceeding quota.

10.6 Site Search does not guarantee meeting specific requirements, uninterrupted availability, or result accuracy.

10.7-10.8 loxal will endeavor to remedy shortcomings. You must report faults promptly.

11. Liability

11.1 loxal is liable for intentional and grossly negligent actions. For ordinary negligence, liability is limited to injury to life, limb, health, or breach of material contractual obligations, capped at foreseeable, typically occurring damage.

11.2 Limitations do not apply if loxal fraudulently concealed a defect or guaranteed quality.

11.3 loxal is not liable for data loss if the client failed to perform backups.

11.4 Liability limitations apply to loxal employees, representatives, and organs.

11.5 Contract termination for non-defect breaches requires loxal responsibility.

13. Final Provisions

13.1 We may change these terms with 30 days' email notice. Continued use constitutes acceptance.

13.2 Munich is the place of delivery for services.

13.3 German law applies, excluding UN sales law.

13.4 Munich is the exclusive place of jurisdiction.

13.5 Offset or retention of payments only for court-ordered or uncontested claims.

14. Severability

If individual parts of this agreement prove invalid, the validity of the remaining parts shall not be affected.
